Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Caret macOS application and related services (collectively, the "Service") provided by Caret Ops, Inc. ("Caret," "we", "us", or "our"). By installing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About Caret
Caret is a macOS tab-completion assistant that suggests text as you type across applications. Caret registers as an input method to detect which text field you are typing in. When you trigger a completion, Caret reads the accessibility tree of the active application to understand the context on screen, sends that context to third-party AI model providers (such as Google, Cerebras, OpenAI, and Anthropic) via our proxy server, and types the suggested completion into the text field. All model providers used do not train on your data.
Caret also builds a local memory of you and relevant entities (people, organizations) it detects on screen. For details on how we handle your data, see our Privacy Policy.
2. Eligibility and Accounts
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.
You sign in using Google OAuth. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@trycaret.com if you become aware of any unauthorized use of your account.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You may not:
- Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Attempt to reverse engineer, decompile, disassemble, or otherwise extract the source code of the Service, except to the extent permitted by applicable law.
- Interfere with or disrupt the Service, our servers, or networks connected to the Service.
- Circumvent any rate limiting, authentication, or security measures of the Service.
- Use the Service to develop a competing product or service.
- Access the Service through automated means (bots, scrapers, etc.) other than the official Caret application.
- Resell, sublicense, or redistribute access to the Service without our written permission.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
We reserve the right to suspend or terminate your access if you violate these Terms, including by banning your account from our server.
4. The Service
Completions
Caret generates text completions using third-party AI models. Completions are suggestions only. You are solely responsible for reviewing, editing, and deciding whether to use any completion that Caret generates. We do not guarantee the accuracy, completeness, appropriateness, or legality of any generated text.
Accessibility and Permissions
Caret requires macOS Accessibility permission to function. Granting this permission allows Caret to read the accessibility tree of the active application to understand the context around your cursor. You can revoke this permission at any time in macOS System Settings, which will disable Caret's functionality.
Beta Services
We may offer features or services designated as "beta," "preview," or "experimental." Beta services are provided as-is, may be less stable or secure, and may be changed or discontinued at any time without notice. We make no warranties regarding beta services, and our total liability for any claims related to beta services shall not exceed fifty dollars ($50).
Availability
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. The Service depends on third-party infrastructure (including AI model providers, Cloudflare, and Supabase), and outages or changes to those services may affect Caret. We may modify, suspend, or discontinue the Service (or any part of it) at any time. We will make reasonable efforts to provide at least 30 days' notice before any material changes or discontinuation, except where immediate action is required for security, legal, or abuse-related reasons.
5. Usage Data
We collect and use aggregated, de-identified usage data (such as feature usage patterns, completion performance metrics, and error rates) to operate, improve, and develop the Service. This data does not identify you personally. We may use such data for any lawful business purpose, including analytics, benchmarking, and product development, without restriction.
6. Intellectual Property
Our IP
The Service, including all software, designs, trademarks, and documentation, is owned by Caret Ops, Inc. and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use, subject to these Terms. All rights not expressly granted are reserved.
Your Content
You own your data. You retain all ownership rights in the text you input into applications while using Caret ("Your Content"), and you own all completions generated for you.
To provide the Service, Caret processes the context on your screen to generate completions. You control whether this data can be used to improve Caret through the "Completion Feedback" setting. When Completion Feedback is enabled, we may use completion data to evaluate and improve Caret's features. When disabled, no completion data is retained beyond what is needed to generate a single completion. You can change this at any time in Settings.
Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use that feedback for any purpose without obligation to you.
7. Third-Party Services
The Service relies on third-party services including AI model providers, cloud infrastructure, analytics, and authentication providers. We carefully select our third-party providers and take reasonable steps to ensure they handle your data appropriately. However, these providers operate independently under their own terms and privacy policies, and we cannot guarantee their conduct. To the extent permitted by law, we are not liable for the acts or omissions of any third-party provider.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING:
- WE DO NOT WARRANT THAT COMPLETIONS WILL BE ACCURATE, APPROPRIATE, COMPLETE, OR FREE FROM ERRORS.
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
- WE DO NOT WARRANT THAT ANY CONTENT GENERATED BY AI MODELS IS FACTUALLY CORRECT OR SUITABLE FOR ANY PARTICULAR PURPOSE.
- YOU ACKNOWLEDGE THAT AI-GENERATED TEXT MAY CONTAIN ERRORS, BIASES, OR INAPPROPRIATE CONTENT, AND YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF SUCH TEXT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARET OPS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Caret Ops, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any content you generate, publish, or distribute using completions from the Service.
11. Termination
You may stop using the Service at any time by uninstalling the application and signing out.
We may suspend or terminate your access to the Service at any time for cause, including but not limited to violation of these Terms or abusive usage patterns. Where possible, we will provide reasonable notice before termination.
Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 8, 9, 10, 12, and 13 survive termination.
12. Governing Law and Dispute Resolution
Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Caret Ops, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.
Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator. The arbitration shall take place in Boston, Massachusetts, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND CARET OPS, INC. AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
Arbitration Fees. Caret Ops, Inc. will cover all JAMS filing and arbitration fees for claims under $75,000. For claims above $75,000, fees shall be allocated according to JAMS rules.
30-Day Opt-Out
You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by sending written notice to support@trycaret.com with the subject line "Arbitration Opt-Out" and including your name, email address, and a clear statement that you wish to opt out. If you opt out, the following applies instead: any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Boston, Massachusetts. Each party irrevocably submits to the exclusive jurisdiction of such courts and waives any objection to venue or inconvenient forum.
13. General
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Caret Ops, Inc. regarding the Service.
- Changes to Terms. We may update these Terms from time to time. If we make material changes, we will notify you through the application or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Export Controls. You agree to comply with all applicable U.S. export control laws and regulations. You may not use the Service if you are located in a U.S.-embargoed country or are on any U.S. government restricted party list.
- Force Majeure. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, or third-party service failures. This does not excuse payment obligations.
- No Third-Party Beneficiaries. These Terms are intended solely for the benefit of you and Caret Ops, Inc. Nothing in these Terms confers any rights or remedies on any third party.
